Terms of Service

By engaging Gridwallz Architecture & Interiors Design ("Gridwallz", "we", "our", or "us") — whether through our website, by phone, email, or in person — you ("Client") confirm that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not engage our services.

• Gridwallz provides professional architecture, interior design, space planning, renovation consulting, 3D visualisation, and project management services.
• The exact scope of work for each project will be defined in a separate Letter of Engagement or Service Agreement signed by both parties prior to commencement.
• Any work outside the agreed scope will be quoted separately and requires written approval before it is undertaken.
• Gridwallz reserves the right to decline any project at its sole discretion without being required to provide a reason.

• All fees are quoted in Indian Rupees (INR) exclusive of applicable taxes (GST) unless otherwise stated.
• A non-refundable retainer fee is required before any design work commences. The amount is specified in your Service Agreement.
• Progress payments are due as per the milestone schedule outlined in the Service Agreement. Work may be paused on overdue accounts.
• Final drawings, files, and project deliverables will be released only upon full and final settlement of all outstanding fees.
• We reserve the right to charge interest at 1.5% per month on invoices unpaid beyond 30 days of the due date.

• The Client must provide accurate site dimensions, building plans, photographs, and any other information reasonably required for the project.
• The Client is responsible for obtaining all necessary municipal, statutory, and regulatory approvals, permits, and consents, unless explicitly agreed otherwise in writing.
• The Client must appoint a single point of contact authorised to make decisions and approve designs on behalf of all stakeholders.
• Delays caused by the Client's failure to provide required information, feedback, or approvals in a timely manner may result in revised timelines and additional charges.

• Each project phase includes a defined number of revision rounds as stated in the Service Agreement.
• Additional revision rounds beyond the agreed limit will be billed at our standard hourly rate.
• Fundamental changes to the design brief after sign-off may be treated as a new scope of work and quoted accordingly.
• All approved revisions must be confirmed in writing (email is acceptable) to be considered binding.

• All design concepts, drawings, 3D renders, mood boards, and documents created by Gridwallz remain the intellectual property of Gridwallz until full payment has been received.
• Upon full and final payment, a licence is granted to the Client to use the deliverables for the specific project described in the Service Agreement.
• Gridwallz retains the right to use images, drawings, and renders of completed projects in its portfolio, marketing materials, social media, and press, unless the Client requests otherwise in writing.
• The Client must not reproduce, resell, or sub-licence any Gridwallz deliverables without prior written consent.

Both parties agree to keep confidential any information disclosed during the engagement that is not publicly available. Gridwallz will not share the Client's personal information, project details, or site addresses with third parties except where required for project execution (e.g. structural engineers, contractors) or where required by law. Gridwallz may recommend or coordinate with contractors, vendors, and suppliers as part of the project. However, any contracts or financial arrangements between the Client and third parties are entirely between those parties. Gridwallz does not accept liability for the performance, quality, or conduct of third-party contractors, even when introduced or recommended by us.

• Gridwallz's total aggregate liability for any claim arising out of or related to our services is limited to the fees actually paid by the Client for the specific phase of work giving rise to the claim.
• We are not liable for any indirect, consequential, special, or punitive damages, including loss of profits, loss of revenue, or cost of rectification by a third party.
• We are not responsible for delays or failures caused by factors outside our reasonable control, including but not limited to natural disasters, government actions, material shortages, or labour disputes.

• Either party may terminate the engagement by giving 30 days' written notice.
• Upon termination, the Client is liable for all fees for work completed up to the termination date, plus any non-recoverable expenses incurred.
• The non-refundable retainer is not returned in the event of termination by the Client.
• Gridwallz may terminate immediately in the event of non-payment or material breach of these terms by the Client.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to mediation in Bengaluru, Karnataka. These Terms are governed by the laws of India, and any litigation shall be subject to the exclusive jurisdiction of courts in Bengaluru.

Gridwallz reserves the right to update these Terms of Service at any time. The current version is always available on our website. Continued engagement with Gridwallz following any update constitutes acceptance of the revised terms. We will notify active clients of material changes by email.
